The Board of Trustees of the General Mills Foundation (the "Foundation") determined, by unanimous written consent adopted as of September 29, 2021, that it was advisable and in the best interests of the Foundation to dissolve its corporate existence and adopt a Plan of Dissolution, pursuant to which the net assets of the Foundation would be distributed, after payment of the Foundation's costs, expenses, and liabilities, to the General Mills Foundation Corpus Account at Charities Aid Foundation America ("CAFA"), a Code Section 501(c)(3) organization further classified as a public charity described in Code Section 509(a)(1), with such assets to be used in furtherance of the exempt purposes of the Foundation
